That item will be rushed almost without question by people like 
Essentially all in ap assassins will buy this first item over many other things if they're against another ap, it would be the same issue of old abyssal scepter, whoever got it first wins.
dakota saturn1 votesWho cares? It has a 40+ sec cd and you can't take any champ dmg during the cd or it resets; it is literally a non-issue if it is rushed. It is a horrible rush, and tbh it was nerfed for everyone but mages, since ADCs can't buy it anymore, and tanks don't benefit nearly as much anymore. It doesn't even have a good build path, since you'll be sitting on a measly 25 MR null mantle until its completed.
Revali1 votes70 ap 10% cdr is very good, and 40 second cd never stopped people from using protobelt or Gunblade/revolver the only difference is the combat damage sure, but blocking one spell in an entire rotation of a champ (especially mages) is definitely enough to outweigh the weakness' of the item.

Once you poke the shield off, all it takes is a stray auto to reset the CD. The shield should be completely inconsequential unless you get ambushed, which won't really happen in laning phase.
Don't get me wrong, it's an extremely good mid-late item, but it's not going to be a first item rush except in rare instances or when behind.
