Why is Kleptomacy only attack based? Why doesn't it work with spells?

I fail to see how it would be broken if it worked with spells as well. Someone enlighten me pls...

Because of the sheer strength it'd have then.

Imagine how many items someone like, say, Karthus could get in a single minute, or Pantheon, or anyone else with spammable spells. You'd get an insane number of procs of it, such an insane number that the fact you missed half the procs wouldn't matter.

Attacks require commitment. Many spells have a lot of range and/or have an instant cast that doesn't require you to stand still for a moment. A basic attack will generally put you in range to get attacked back, and Kleptomancy requires you to cast a spell to activate it, so you have less cooldowns than the person you're attacking. If you don't have the health advantage, you can't afford to trade. Of course, this breaks down on champions like Ezreal that have an ability that counts as an auto attack, so casting it primes Klepto, and landing it procs it.

If it were to work off of any damage, not just attacks, it would need a short cooldown between procs so that people couldn't just spam their spells. Alternatively, a longer cooldown that required more commitment (e.g., three spells and/or abilities landed, like Electrocute), but provided more payout work.

Technically Klepto procs on hit, so both auto attacks and abilities that proc on hit effects can proc klepto too. That is why Klepto synergies really well with Ezreal, Illaoi and Nasus.

Ezreal can easily proc it from range with Q, Illaoi can proc the attacks on the clone from her e and her W also procs it, and Nasus can proc it with his Q (and he can reduce the CD of Q when his r is active to give him more klepto procs).

It does proc with spells, just ones that can proc on hit effects. Really good examples is Ezreal Q, Illaoi W (and attacks on the clone when she lands her E), and nasus Q.

Technically your statement already is in the game, just not in the way you imagined or was thinking of.

All of these counters you guys are given are pretty invalid when you consider that Dark Harvest was swapped to trigger on ANY damage instead of just autos. Riot is capable of doing any number of absurd changes to runes.
