Yes but 40 seconds means that once you have it, it will ALWAYS be up.
It's the same problem I have with the Leblanc passive (60 second CD). Once you pop it she just goes back, buys items, then walks back to lane. By the time she's back in lane her passive is already up. Protobelt will be no different.
