I’d say make the passive offensive the same way seraph’s is defensive lol

Dat item can give you a total of +80 mr and ar with 1000 mana increase... And an active? Yeah idk about that.

The item by itself is 50 armor and magic resist with 1k mana. Let's compare to item 3040 and item 3042 for gold efficiency.

item 3042 is 45 ad and 1k mana. That is 2975 gold value

item 3040 is 20% cdr, 92 AP, and 1400 mana. That is 4495

(new item) is 50 armor, 50 mr, and 1000 mana. That is 3300 gold value

It really isn't that unreasonable when comparing to the other tear items. Note that Muramana is kind of low because the value of its upgrade. It can give about 200 damage on hit when mana is full. My normal build on Taric has about 3500 mana. This item would give him 100 armor and mr. My typical build with Muramana gives him 95 AD. That seems like a fair trade-off to me.

Well this is MR and AR, and it doesn't have any drastic change upon maxing out the mana. The other items are pretty bad until you finish them. Maybe if it was 1 per 50 mana until transformed?

Other AP and AD items generally don't also give mana, making the items have poor synergy with their tear counterpart. For AD you have Essence Reaver and Trinity force, both of which go with it decently enough, but only really Ezreal can make use of this. For AP, you have Luden's, Lichbane, GLP and RoA. Luden's and GLP both have anti-synergy with their tear counterpart, RoA has similar problems where it lacks an immediate powerspike, and Lichbane is the only real option here and it only works for champs that can weave in auto attacks. Meanwhile, for tank champions, you have Abyssal Mask, Frozen Heart, Iceborn Gauntlet, Righteous Glory, Zeke's Convergence, and no shortage of component items. It would become too generalist a defensive item and become a must-buy for all tanks who use mana.

Biggest issue: there's already a "defensive" tear option in the massive mana shield that item 3040 gives you. This "defensive" option you have in mind is massively overtuned, and Singed would just use this, his ult, and item 3193 to be literally invincible, then kite your team all over the place...Ornn would never die, Ryze would never die, Lissandra , Nunu ,Anivia ...none of them would die. Nasus would be a nightmare.

But by far the worst offender of this item would be Phase Rush TahmKench. Same way as Singed: Build this item & Stoneplate, and be basically invincible while he stacks up his passive on an enemy. Since his W doesn't deal its damage until after he spits out his victim, Stoneplate wears off before he damages you, so you still take full damage from it. 60-70% dmg reduction off two active items + phaserush on Kench would mean he can invest the other 3 (he has to have swifties for that strat) into health/AP items instead of tank items, and still be too tanky to handle with less than 3 people hard focusing the hell out of him. And of course with phaserush, he's probably dragged you far away from anyone able to help you by then, and can easily finish you off.

Something like this, maybe?

It doesn't have to be a Frozen Heart rework, I just really like how the item name looks in this context.

Frozen Heart

Tear of the Goddess (850) + Aegis of the Legion (1100) + 650 = 2600

+30 Armor +30 Magic Resist +250 Mana

Unique - Awe: Grants bonus Armor and Magic Resist equal to 2% of your maximum Mana. Refunds 15% of Mana spent.

Unique - Mana Charge: Grants +4 maximum Mana whenever you expend Mana or take damage from an enemy champion or large monster (up to 3 times per 12 seconds).

Transforms into Heart of True Ice at +750 Mana.

Heart of True Ice

+30 Armor +30 Magic Resist +1000 Mana

Unique - Awe: Grants bonus Armor and Magic Resist equal to 2% of your maximum Mana. Refunds 15% of Mana spent.

Unique - Frostguard: Upon expending Mana, you gain Frostguard for 3 seconds, reducing damage from champion attacks and abilities by 20% of the Mana expended. Additional Mana expenditures will refresh Frostguard's duration, increasing it only if a greater amount of Mana is expended.
