Because of its usage. While Sword of Occult would be tempting for AD Assassins it was useless because those champs (Talon, Rengar, Khazix...) are easily focused down. So its basically worthless item. Mejai on the other hand is tempting for champions that prefer to stay safe behind and generally rarely die (Lux, Janna, Xerath...)

Because Occult applied to auto attacks and wasn't limited by secondary resources.
