What are the qualifications for an Ultimate Skin?

I own two of his Cho'gath's legendary skins, Gentleman and Battlecast Prime. Why is Gentleman considered to be on the same level as Battlecast?

It's Cho in a suit with different voicing. He gets no changes in abilities animations, or particles.

Just seems more like an Epic skin than a legendary.

Gentleman Cho'Gath is a really old skin. At the time of it's release a new voiceover was something special.
